1. Who we are, and what this covers

Predict Here is operated by Odyssea Research LLC ("Predict Here," "we," "us"). predicthere.com and its subdomains cover several distinct things, described in the sections below:

• Predict Here Institutional / Predict Here Monitor — our current product: read-only event-risk intelligence and data for institutional organizations (Section 2).
• Legacy wallet services — a closed, existing-users-only real-money product we retain solely so those users can withdraw remaining funds, at /legacy/connect and /legacy/wallet (Section 3).
• Historical & partner services — the Partner Sandbox (Console, API, embeds, and the /demo sandbox environment), retained from an earlier white-label product; the partner API itself is disabled by default and not published (Section 4).
• Explore, Institutional Evaluation, and Institutional access — the three ways an organization gets into Predict Here Institutional / Monitor (Section 5).

How to read this document. Every section below is labeled with the scope it governs. Current Institutional means the public website, Predict Here Institutional / Monitor and its organizations, accounts, watchlists, alerts and institutional API (Section 2), and free / evaluation access (Section 5). Legacy / Partner Addendum means the legacy wallet service (Section 3) and the Partner Sandbox, including its previous order routing and historical integrations (Section 4). Sections 6 through 9 apply to both scopes.

Using any part of the site means accepting these Terms. Where a specific product has its own additional terms — an institutional organization's signed agreement, or a partner's own agreement with us — those control for that product to the extent they conflict with this general document.

2. Predict Here Institutional / Predict Here Monitor (current product)

Scope: Current Institutional. This section governs the public website and Predict Here Institutional / Monitor — organizations, member accounts, watchlists, alerts, and the institutional API. It does not govern the legacy wallet service (Section 3) or the Partner Sandbox (Section 4).

Predict Here Institutional — delivered through Predict Here Monitor — is a read-only event-risk intelligence and data product for institutional organizations. It does not execute trades, custody funds, take orders, or act as a broker, exchange, or counterparty on your behalf.

Polymarket US has a dedicated read-only workspace and implemented retained shared-collection support. US collection is disabled in the current production release. Any future shared collection requires separate source ingestion authority; customer delivery also requires current organization rights and, for prices, human approval of the exact fixed USD $1/$0 semantic version. The dedicated workspace uses authenticated sessions and remains subject to the same separate organization rights and production controls.

• Monitor gives admitted institutional organizations a venue-neutral view of event contracts: a canonical event model with an explicit semantic-verification state on every mapping (VERIFIED, PARTIAL, NOT_EQUIVALENT, or UNREVIEWED) — today over entitled contracts, with cross-venue comparison implemented as an organization-scoped conditional workflow that requires a current human-reviewed proposition/outcome mapping and eligible observations from at least two distinct sources; US and Kalshi collection is disabled in the current production release; an executable-liquidity ladder computed from visible order-book depth; and provenance — source, as-of time, and methodology version — on every published figure.
• Signals, watchlists, and alerts are informational surfaces that flag things Monitor detects (verified repricings, semantic divergences, liquidity shocks). They are not trade instructions and do not execute anything on your behalf.
• Access is org-based. Predict Here Explore — our free, self-service tier — provisions an organization automatically the first time a verified email signs in; no application or admission decision is involved. An Institutional Evaluation or an Institutional relationship instead requires an organization to apply through Request Institutional Access, which we evaluate and admit at our discretion (Section 5). Either way, an admitted or provisioned organization authorizes the specific members who may use it, each with a role governing what they can view or do, and we may decline an application, or suspend or revoke an organization's or a member's access, at any time, for any reason.
• Delivery is the Workstation; a self-service Developer Sandbox API key, backed by synthetic fixture data only, available to any Explore account; and session-authenticated canonical data routes subject to source-specific organization rights. Production API-key transport for these canonical routes is not implemented. A plan does not grant third-party data rights. Historical exports are planned but not yet available to anyone.
• Every derived figure computed by canonical Monitor — including "PH Composite" and any other computed metric — is a modelled output of our own methodology. It is not investment, legal, or tax advice, not a recommendation to take or avoid any position, and not a representation that any venue, counterparty, or regulator will treat the figure any particular way. Data completeness and freshness vary by source; a degraded or stale input is reflected in the output's own status rather than presented as current.

You may not redistribute, resell, sublicense, or use Monitor's data or analytical outputs to build or supply a competing product, beyond what your organization's specific written agreement with us allows.

3. Legacy wallet services (existing users only)

Scope: Legacy / Partner Addendum. This section governs only the closed legacy wallet product. It does not apply to you if you use Predict Here Institutional / Monitor (Section 2) or free / evaluation access (Section 5).

Predict Here previously operated a real-money, non-custodial wallet product on the Polygon network. It is closed to new users and no longer accepts new deposits. If you were an existing user of that product, you can still view your balance and withdraw any remaining funds at /legacy/connect and /legacy/wallet — we retain your wallet address and your order/transaction history for that purpose. This is a separate legacy product from Predict Here Institutional / Monitor described in Section 2; it does not involve Monitor's data, analytics, or org-based access.

4. Historical & partner services — Partner Sandbox

Scope: Legacy / Partner Addendum. This section governs the Partner Sandbox, its previous order routing, and historical integrations. It does not apply to you if you use Predict Here Institutional / Monitor (Section 2) or free / evaluation access (Section 5).

The Partner Console, the partner API, embeds, and the /demo sandbox environment (predicthere.com/demo, including /demo/console, /demo/api, and /demo/embed) are retained from that earlier product rather than offered as current ones, and none of them is part of the Predict Here Institutional product described in Section 2. The partner API (predicthere.com/api/v1) is disabled by default and is not published: unless it has been explicitly enabled for a specific integration, every one of its endpoints responds "not found." The /demo sandbox and its Console and developer documentation remain reachable as reference surfaces for an existing integration; they are not an offer of a new one.

Inside the Partner Sandbox, two distinct market types exist:

• Practice markets — free markets that run on play credits with no monetary value on their own, cost nothing to obtain, and cannot be purchased. Credits do not redeem for money, prizes, or anything of value on this site; in a live partner deployment, credits redeem only through the operating partner, where local rules allow. Practice markets, balances, credits, and history are not permanent — we may reset, alter, or remove any of it at any time, without notice. Some activity shown — additional order flow, other "traders" on a market — is simulated to demonstrate the product at realistic volume, and is labeled as simulated where it appears. A prospect who arrives via a branded preview link may see a cosmetic "preview your brand" skin applied to the interface; this is presentation only and does not itself create any partnership or agreement.
• Sourced markets (Solana, non-custodial) — a retired lane that offered real markets sourced from a third-party venue (Polymarket) through our order-routing infrastructure, traded in USDC from your own Solana wallet. It has been permanently retired rather than switched off: every route into it now answers HTTP 410 Gone, every entry point has been removed, and there is no path back. The Kalshi adapter is likewise built, not enabled — no live calls, no universe membership — pending a data-rights agreement. For the period the lane was offered, and for the records we still hold from it: Predict Here never held, transmitted, or controlled your funds — every trade was built as an unsigned Solana transaction that you reviewed and signed yourself. Positions and settlement lived on-chain at the source venue; Predict Here was not a counterparty, broker, exchange, custodian, or money transmitter, and did not set prices or outcomes. Fees were set by the source venue and our order-routing provider and were shown before you signed. Blockchain transactions are irreversible once signed — you were, and remain, solely responsible for your wallet's security and for every transaction you signed. Market data could be delayed or unavailable, and resolution and outcomes were determined by the source venue's rules, not by Predict Here.

Any partnership, licensing, or commercial relationship with Predict Here / Odyssea Research LLC becomes binding only once it is reflected in a signed written agreement between the parties. Conversations, sandbox access, and site content do not by themselves create a contract.

5. Explore, Institutional Evaluation, and Institutional access

Scope: Current Institutional. This section describes the three ways an organization gets into Predict Here Institutional / Monitor, referenced from Section 2's access paragraph above.

Explore is free, self-service, and permanent. Signing in with a verified email automatically provisions an organization the first time you do not already belong to one — no application, no card, no call. Explore's event universe, watchlist size, seat count, and executable-liquidity depth are limited. A Developer Sandbox API key, backed by synthetic fixture data only, is available from your account settings once signed in.

An Institutional Evaluation is a qualified, manually approved, time-boxed trial with an expanded event universe, the full executable-liquidity ladder, alerts, and session-authenticated canonical data routes, subject to current source rights and release controls. A plan does not itself authorize third-party data delivery. We set its duration and may extend, convert, or end it at our discretion; access reverts to Explore when an evaluation ends without conversion.

Institutional access is a continuing commercial relationship. Its scope — event universe, delivery modes, and any commercial terms — is set per organization; we do not publish pricing.

6. Eligibility and restricted regions

Scope: both. The age requirement applies across the whole site. The restricted-region rules below are product-specific and each paragraph names the product it governs.

You must be 18 or older (or the age of majority where you live) to use any part of the site.

An Institutional Evaluation or an Institutional relationship (Sections 2 and 5) is by our approval, not self-service; we may decline an application for any reason, including region. Explore (Section 5) is self-service and does not go through this admission step.

The legacy wallet service (Section 3) and Sourced markets in the Partner Sandbox (Section 4) are not available to persons located in, residents of, or citizens of restricted jurisdictions, including the United States, and any jurisdiction on our blocked list or subject to comprehensive sanctions (Iran, North Korea, Syria, Cuba, Russia, and others we may add). Geographic controls for those two products are enforced on a best-effort basis by IP. Attempting to evade them — by VPN, proxy, or otherwise — is a violation of these Terms. You are responsible for the legality of your own participation under the laws that apply to you.

7. Acceptable use

Scope: both. These rules apply to Current Institutional and to Legacy / Partner Addendum products alike.

Across the whole site — Predict Here Institutional, legacy wallet services, and the Partner Sandbox — you agree not to:

• scrape, crawl, or systematically extract data beyond normal browsing, or beyond what your organization's institutional access or partner agreement expressly permits;
• probe, disrupt, or attempt unauthorized access to any part of the site or its infrastructure;
• misrepresent your identity, affiliation, or organization, or use the site to manipulate prices, markets, signals, or any published figure;
• copy, reverse-engineer, resell, white-label, or use the site or the underlying technology — including Monitor's data and analytics — to build a competing product, without a signed agreement;
• evade geographic or sanctions controls;
• abuse quote, order, watchlist, alert, or API endpoints through automated or high-frequency access outside normal or agreed use.

8. Risk disclosure

Scope: both. The first three sentences apply across the whole site; the closing sentence about signed digital-asset transactions applies only to the Legacy / Partner Addendum products (Sections 3 and 4).

Prediction-market and event-contract positions can lose their entire value. Prices reflect market opinion, not facts or advice. Nothing on this site — including Predict Here Institutional's analytics, signals, or any figure it publishes — is investment, legal, or tax advice. Digital-asset transactions on the legacy wallet and Partner Sandbox products are final once signed.

9. Liability, governing law & changes

Scope: both. One liability and governing-law clause currently covers Current Institutional and Legacy / Partner Addendum products alike.

To the extent permitted by law, Predict Here is not liable for losses arising from system outages, downtime or resets, or user error.

These Terms are governed by the federal laws of the United States, with disputes resolved in the State of Delaware.

We may update these Terms. Continued use after notice constitutes acceptance.
